Welcome to Two Soups Media. By using our services or accessing our website, you agree to comply with the following Terms of Service. These terms apply to all users of our services, including clients and partners. Please read them carefully.

Mission Statement

Two Soups Media is dedicated to making media accessible for all. We specialize in closed captioning, audio descriptions, and media production services that help businesses meet accessibility standards while enhancing the reach and impact of their content.

Services Provided

Core Services

  • Closed Captioning: Ensuring video content is accessible to hearing-impaired viewers.
  • Audio Descriptions: Providing narration for visual content, making it accessible to visually impaired audiences.
  • Transcriptions: Converting spoken content into written text for accessibility and SEO purposes.
  • Media Delivery/Packaging/Encoding: Preparing media for distribution, including encoding for adaptive bitrate streaming and ensuring optimal playback on various devices and networks.
  • Video and Podcast Editing: Offering basic to advanced editing for both video and audio content.

Specialized Services

  • Media Accessibility Consulting: Assisting clients in meeting accessibility compliance requirements such as the ADA (Americans with Disabilities Act) and AODA (Accessibility for Ontarians with Disabilities Act).
  • Custom Video Production: Providing tailored solutions for large-scale projects and long-term collaborations, covering the full production process from pre-production to post-production.

Project Scope and Revisions

The scope of each project will be defined during an initial consultation, including detailed outlines of deliverables, timelines, and specific services to be provided. This may include hours of video editing, the number of captions, or any additional services agreed upon.

Revisions: Two rounds of revisions are included as part of our standard service. Any additional revisions beyond the two rounds will incur extra fees. The rate for additional revisions is $50 per revision hour, and these charges will be clearly outlined and agreed upon in advance.

Payment Terms

Deposit Requirement

A non-refundable deposit of 50% of the total project cost is required upfront before any work begins. This deposit confirms the client’s commitment to the project and allows Two Soups Media to allocate resources accordingly.

Payment Schedule

  • For standard projects, payment will be split into two parts: 50% upfront and 50% upon final delivery.
  • For larger or more complex projects, a flexible payment schedule can be arranged. The standard schedule for such projects is 50% upfront, 25% at the midpoint of the project, and 25% upon final delivery.
  • The final payment must be made upon project completion and before the release of the final deliverables.

Late Payment Fees

All invoices must be paid within 30 days of receipt. Late payments will incur a 1.5% interest charge per month on the overdue balance, beginning 30 days after the invoice date.

Intellectual Property

Ownership

Full ownership of the final deliverables is transferred to the client only after complete payment has been received. Until payment is received in full, Two Soups Media retains ownership of all work produced.

Promotional Use

Once ownership is transferred, the client may use the media for promotional purposes. Two Soups Media reserves the right to use the completed project for its portfolio, marketing materials, or case studies unless otherwise agreed upon in writing by both parties.

Asset Submission

Clients are responsible for providing all necessary assets (such as logos, scripts, and footage) within 5 business days of the project agreement. Delays in submission may affect project timelines.

Feedback and Approvals

Clients are expected to provide feedback within 5 business days of receiving drafts. Failure to provide timely feedback may result in project delays, and additional costs may apply if deadlines are missed.

Termination of Services

Client Cancellation

Clients may cancel the project at any time. However, the initial deposit is non-refundable. If a project is canceled after significant progress has been made, the client will be responsible for paying for the work completed up to the point of cancellation, based on a prorated fee structure.

Two Soups Media Termination

Two Soups Media reserves the right to terminate the project in cases such as non-payment, breach of contract, or failure to provide necessary materials in a timely manner. In such cases, all fees paid up until the point of termination are non-refundable.

Liability and Disclaimers

Service Performance Disclaimer

Two Soups Media makes no guarantees regarding the performance of media content, such as increased viewership, audience engagement, or SEO improvements.

Limitation of Liability

Two Soups Media is not liable for any indirect, incidental, or consequential damages resulting from delays caused by the client, third-party issues (such as platform failures), or other circumstances beyond our control (e.g., natural disasters, technical failures).

Dispute Resolution

Jurisdiction

All agreements made under these Terms of Service are governed by the laws of Ontario, Canada.

Dispute Resolution

In the event of a dispute, both parties agree to pursue mediation or arbitration before seeking legal recourse. This is intended to ensure a more cost-effective and amicable resolution to conflicts.

Force Majeure

Two Soups Media is not responsible for delays caused by factors beyond its control, such as natural disasters, government actions, or technical failures.

Amendments and Updates

Two Soups Media reserves the right to amend these Terms of Service at any time. Clients will be notified of any significant changes, and continued use of our services after any updates signifies your acceptance of the modified terms.

Severability Clause

If any part of these Terms of Service is deemed unenforceable or invalid, the remaining provisions will continue to be in full effect.
